MURDERED REEVES MALAMBO’S DAUGHTER SUES TRUSTEES
By GRACE CHAILE LESOETSA MURDERED business executive, Reeves Malambo’ s daughter, has sued the Reeves Malambo Family Trustees challenging her removal as director of AutoForce Zambia limited and two other companies. Sarah Malambo, a minority shareholder in the three companies wants the Lusaka High Court to declare her removal by resolutions dated December 28 2020 incompetent and a violation of the provisions of the Companies Act No 10 of 2017. She wants a declaration that her alleged removal as the company secretary in Jersey Mall Properties Limited was incompetent and a violation of the provisions of the Company Act and as such rendering the alleged subsequent removal as company secretary a nullity. She also wants the court to cancel her removal as a company secretary of Jersey Mall Properties Limited and wants an order directing the defendants to reinstate her as director in Auto force Zambia Limit and Shaftex . And to ensure that the records of the three companies at PACRA were rectified to reflect correct information that she was a bona fide director in the two companies and company secretary in Jersey Mall Properties Limited. Sarah seeks a declaration that the three respondents namely Leonard Malambo, Patson Mwiinga Makatha and Ngoza Barbara Sinkolongo were illegally appointed to the board of directors of Jersey Mall properties limited and there has been no resolution of the company appointing them as such and any changes effected at the PACRA were effected illegally. She has also cited AutoForce Zambia Limited , Shaftex Limited and Jersey Mall Properties Limited as the other respondents who are private limited companies. In a statement of claim filed into court , Sarah stated that she is holding 100 ordinary shares in Shaftex , 250 shares in Jersey Mall Properties Limited and of each of the company’s total authorised shares.
